About AkmoScale

AkmoScale provides digital strategy, website development, lead-generation infrastructure, automation, CRM implementation, follow-up systems, and related digital services.

The specific services, deliverables, timelines, fees, and other project requirements provided to a client will be established in a separate proposal, statement of work, service agreement, or other written agreement.

If there is a conflict between these Terms and a specific written agreement between AkmoScale and a client, the specific written agreement will control for that project.

Use of the Website

You may use the Website only for lawful purposes and in accordance with these Terms.

You agree not to:

• Use the Website for unlawful, fraudulent, or abusive purposes
• Attempt to gain unauthorized access to the Website or its systems
• Interfere with or disrupt the Website's operation
• Upload or transmit malicious code, malware, or other harmful material
• Scrape, copy, reproduce, or systematically extract Website content without permission
• Impersonate AkmoScale or another person or entity
• Use the Website to violate the rights of others

AkmoScale reserves the right to restrict or terminate access to the Website if we reasonably believe these Terms have been violated.

Services and Projects

AkmoScale's services may include, depending on the engagement:

• Website design and development
• Landing pages
• Conversion optimization
• Lead-generation systems
• CRM implementation
• Workflow and business automation
• Lead qualification and booking systems
• Email or SMS follow-up infrastructure
• Custom digital systems
• Integrations with third-party platforms
• Ongoing optimization and maintenance

Services provided to a client will be governed by the applicable project agreement.

AkmoScale may use third-party software, platforms, APIs, hosting providers, artificial intelligence tools, or other technologies when performing services.

Proposals and Scope of Work

Before beginning a paid project, AkmoScale may provide a proposal, statement of work, estimate, or similar document describing the project.

Unless otherwise agreed in writing, work outside the agreed scope may require an additional fee and timeline adjustment.

Requests for additional functionality, revisions, integrations, pages, features, or other work may be treated as a change to the project scope.

Fees and Payment

All fees will be communicated before work begins and will be governed by the applicable proposal, invoice, or service agreement.

Unless otherwise specified:

• Deposits or initial payments may be required before work begins.
• Payments are due according to the agreed payment schedule.
• Late payments may result in paused work or delayed delivery.
• AkmoScale may suspend services for unpaid balances.
• Third-party costs, including software subscriptions, hosting, domains, advertising spend, paid APIs, or other external services, may be billed separately unless expressly included in the project scope.

Client payments are generally non-refundable once work has been performed, except where a written agreement or applicable law provides otherwise.

Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information, content, credentials, approvals, materials, and access reasonably necessary to perform the services.

Delays caused by missing information, delayed approvals, unavailable credentials, or client-requested changes may affect project timelines.

Clients are also responsible for ensuring that materials they provide to AkmoScale do not infringe the intellectual property, privacy, or other rights of third parties.

Timelines and Delivery

Project timelines are estimates unless a written agreement expressly provides otherwise.

AkmoScale will make reasonable efforts to meet agreed deadlines. However, timelines may change because of:

• Client delays
• Scope changes
• Third-party services
• Technical issues
• Hosting or infrastructure limitations
• Regulatory or legal requirements
• Events outside AkmoScale's reasonable control

AkmoScale will communicate material delays when reasonably possible.

Revisions and Approvals

The number of revisions included in a project will be determined by the applicable proposal or agreement.

Clients are responsible for reviewing and approving deliverables within a reasonable period.

Once a deliverable has been approved, additional substantial changes may be treated as additional scope and may incur additional fees.

Third-Party Services

AkmoScale may integrate or rely on third-party services, including hosting providers, analytics platforms, CRMs, payment processors, communication platforms, scheduling software, APIs, and other technologies.

AkmoScale does not control the availability, security, pricing, policies, or functionality of third-party services.

A third-party service may change its functionality, pricing, terms, APIs, availability, or security practices without AkmoScale's control.

Clients may be required to maintain their own accounts or subscriptions with third-party providers.

Unless expressly agreed otherwise, AkmoScale is not responsible for third-party service interruptions or changes.

Artificial Intelligence and Automated Systems

AkmoScale may use artificial intelligence and automated technologies as part of research, design, development, content creation, analysis, workflow automation, or other services.

Where AI-generated or automated output is used, AkmoScale may review and modify the output as appropriate, but clients remain responsible for reviewing and approving final materials before publication or deployment when appropriate.

Clients should not provide confidential, sensitive, regulated, or proprietary information to AI systems unless the applicable service and project agreement expressly permit such use and appropriate safeguards are in place.

Website Content and Information

The information provided on the Website is for general informational purposes.

AkmoScale makes reasonable efforts to keep Website content accurate and current, but we do not guarantee that all information will always be complete, accurate, current, or error-free.

Nothing on the Website constitutes legal, financial, medical, tax, or other regulated professional advice.

Intellectual Property

Unless otherwise stated in a written agreement:

AkmoScale's Property

AkmoScale retains ownership of its pre-existing materials, methodologies, templates, systems, processes, frameworks, code libraries, design systems, tools, know-how, and other intellectual property developed independently of a specific client project.

Client Materials

Clients retain ownership of materials they provide to AkmoScale, subject to any rights required for AkmoScale to perform the agreed services.

Project Deliverables

Ownership or licensing of project deliverables will be determined by the applicable proposal or written service agreement.

Where a written agreement does not specify ownership, AkmoScale retains ownership of reusable systems, frameworks, components, and underlying materials while granting the client the rights necessary to use the final deliverables for their intended business purposes, subject to payment in full.

Portfolio and Marketing Rights

Unless otherwise agreed in writing, AkmoScale may identify a completed project as part of its portfolio and may display publicly available project materials, screenshots, or descriptions for promotional and portfolio purposes.

AkmoScale will not intentionally disclose confidential information that the client has identified as confidential.

Clients may request that a particular project or material not be publicly displayed by contacting AkmoScale.

Confidentiality

Each party may receive confidential or proprietary information belonging to the other party.

Each party agrees to use reasonable measures to protect confidential information and to use it only for purposes related to the applicable business relationship.

Confidential information does not generally include information that:

• Is publicly available through no breach of an obligation
• Was already lawfully known by the receiving party
• Is independently developed without use of the confidential information
• Is lawfully received from a third party without confidentiality restrictions
• Must be disclosed by law or legal process

Additional confidentiality obligations may be established in a separate NDA or service agreement.

Client Data and Privacy

AkmoScale may process personal information when providing services to clients.

Our collection and use of personal information through the Website is described in our Privacy Policy.

When AkmoScale processes personal information on behalf of a client as part of a project, the client may remain responsible for determining the lawful basis, notices, consent requirements, retention policies, and other legal obligations associated with that data.

Where appropriate, the parties may enter into additional data-processing or privacy agreements.

Security

AkmoScale takes reasonable measures to protect systems and information used in providing services.

However, no electronic system, internet connection, hosting environment, or digital transmission method can be guaranteed to be completely secure.

Clients are responsible for maintaining appropriate security for their own accounts, credentials, systems, devices, and third-party services.

No Guarantee of Business Results

AkmoScale provides strategy, design, development, technology, and digital infrastructure services.

Unless expressly stated in a written agreement, AkmoScale does not guarantee any particular:

• Revenue
• Number of leads
• Number of customers
• Conversion rate
• Advertising performance
• Search ranking
• Return on investment
• Sales volume
• Business growth

Business outcomes depend on numerous factors outside AkmoScale's control, including market conditions, pricing, sales processes, competition, customer behavior, advertising platforms, and client execution.

Any examples, demonstrations, projections, or hypothetical results shown on the Website are illustrative unless explicitly identified as verified client results.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Website and its content are provided on an "as is" and "as available" basis.

AkmoScale does not guarantee that:

• The Website will always be available
• The Website will be uninterrupted or error-free
• Website content will always be accurate or complete
• The Website will meet every user's requirements
• Defects will always be corrected
• The Website or its servers will be free from harmful components

Certain jurisdictions may not permit all warranty exclusions, in which case some of these exclusions may not apply.

Limitation of Liability

To the maximum extent permitted by applicable law, AkmoScale and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to:

• Use of the Website
• Inability to use the Website
• Use of AkmoScale's services
• Third-party services
• Loss of profits
• Loss of revenue
• Loss of data
• Business interruption
• Loss of business opportunities

To the maximum extent permitted by law, AkmoScale's total liability arising from a specific paid service engagement will not exceed the amount actually paid to AkmoScale for the services giving rise to the claim during the applicable project or, where appropriate, during the six months preceding the event giving rise to the claim.

Nothing in these Terms limits liability where doing so would be prohibited by applicable law.

Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless AkmoScale and its owners, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses arising out of:

• Your misuse of the Website
• Your violation of these Terms
• Materials or information you provide to AkmoScale
• Your violation of another person's rights
• Your unlawful use of AkmoScale's services

Termination

AkmoScale may suspend or terminate access to the Website or services when reasonably necessary, including where:

• These Terms are violated
• Payments are overdue
• Fraudulent or unlawful activity is suspected
• Continued access creates security or legal risks
• A client relationship is terminated under a separate service agreement

Termination does not eliminate obligations that accrued before termination.

Force Majeure

AkmoScale will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, government actions, war, civil unrest, telecommunications failures, widespread internet outages, cyber incidents, labor disputes, third-party service failures, or other extraordinary events.

Governing Law

These Terms will be governed by the laws of the jurisdiction in which AkmoScale is established, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the use of the Website will be handled in the courts of that jurisdiction, unless otherwise required by applicable law or agreed in writing.

Changes to These Terms

AkmoScale may update these Terms from time to time.

When changes are made, the updated version will be posted on this page and the "Last Updated" date will be revised.

Your continued use of the Website after an update becomes effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with AkmoScale's Privacy Policy and any applicable written service agreement, proposal, statement of work, or other agreement, constitute the applicable agreement regarding use of the Website and services.
